Terms and conditions.

These terms govern your use of Spearhead Stock at spearheadstock.com and in the Spearhead Stock app: the licensing of video and photography, membership, and fine-art prints. By creating an account, downloading anything, or buying anything, you agree to them.
1. The license
Everything in the library is owned by Spearhead Media LLC or by a contributor who has granted us the right to license it. Buying a license does not transfer copyright and does not make your use exclusive. The same clip may be licensed to others, including your competitors.
What a license does give you is a non-exclusive, non-transferable, worldwide right to use that file within the scope you paid for. A license is perpetual: it does not expire with your membership and keeps covering the work you made under it for good. Downloading the file again is a separate matter and needs an active membership (see section 3).

None of these permit resale or redistribution of the file itself. See the next section.
2. What you may not do
Whatever license you hold, you may not:
- Resell, redistribute, sublicense or share the file itself, in any form, whether for money or not. You license the use, not the file.
- Use it in anything sold for its design: merchandise, prints, apparel, mugs, calendars, stationery, templates, stock libraries, or print-on-demand of any kind, including third-party platforms. If the image is the product, this license does not cover it.
- Claim authorship. Holding a license does not make you the photographer.
- Use it unlawfully, or in anything pornographic, defamatory, or that would place a recognizable person or property in a false or offensive light.
- Use it to imply endorsement by any person, business or property that appears in it, without their separate written permission.
- Remove or alter any copyright notice, watermark or metadata.
- Register it, or any work substantially derived from it, as a trademark or design.
If we determine that a license has been breached, we may suspend the account and revoke the license. Fees already paid are not refunded in that case.
3. Membership
A membership gives you a monthly allowance of download credits and a discount on anything beyond it.
- How a term is paid. The 1 Month plan is charged every month, and every other plan (3 Month, 6 Month, 1 Year and 1 Year Pro) is charged in full, up front, for the whole term.
- Credits arrive every month of the term, on every plan, on the same date each month that your term began, including on the plans paid up front.
- Stock pack credits are for the whole term, not each month: 6 Month includes 2 stock pack credits over 6 months, one every 3 months; 1 Year includes 4 stock pack credits a year, one every 3 months; 1 Year Pro includes 500 stock pack credits a year, at the start of the term.

A fair-use ceiling of 30 downloads a day applies to every plan, 1 Year Pro included. It exists to stop automated bulk copying of the library, not to limit ordinary work.
What 1 Year Pro includes. A monthly allowance of 500 video and 500 photo credits, and 500 stock pack credits a year. They pay for Single Use and Extended licenses at the same credit prices as every plan. The Unlimited license is not paid for in credits on this plan. You buy it by card at half its price, which today is $299.50 for a clip and $299.50 for a photograph. A discount code does not add to that half price: the license keeps whichever of the two is worth more. The licenses survive the membership, as all of them do.
What a credit buys. Credits climb the whole ladder, at the same ratio the money does, except the Unlimited step on 1 Year Pro, which is bought by card: one credit for Single Use, four for Extended, nine for Unlimited, of the kind that matches the file: video credits for clips, photo credits for photographs. A pack credit claims a whole pack, and every clip in it arrives licensed Single Use. In the editor, an edit costs one credit for the edit itself plus one credit for each clip in it you do not already hold, and those clips become Single Use licenses of your own, keepable and usable outside that edit. Credits of one kind never pay for the other, and a license you have taken is yours whatever happens to your credits.
When you run out, you can buy more at your plan's discount, or buy the license outright at the prices above. Either way the license you receive is identical to the one credits would have taken, the same rights, the same permanence.
Canceling, renewing, and the end of a term
- Canceling stops the renewal, not the term: you keep access and your monthly credits until the term you paid for ends, and nothing is refunded.
- If a renewal payment fails, the membership is past due: you keep access while the card is retried, but no credits arrive until the payment clears.
- If your membership renews, your unspent credits carry into the new term, with the new term's credits added on top, just as they carry from month to month.
- If a term ends and is not renewed, the membership ends and any unspent credits are lost, including extra credits you bought.
- If you rejoin the same plan within 30 days of the end, the credits you lost are added back on top of your new term's credits, once; after 30 days, or on a different plan, they are not.
- Licenses you have already taken are yours for good and keep covering the work you made with them, whatever happens to your membership or your credits.
- Downloading a licensed file again needs an active membership (a canceled one still inside its paid term counts), with three exceptions: the first download of a license is always delivered, a license bought outright by card can be downloaded again for 30 days from the purchase, and rejoining unlocks every file you have licensed.
4. Renewal, refunds and cancellation
Every plan is a fixed term, paid up front, and it renews automatically.
Your card is charged the full amount for the term when you join, and again at the start of each following term until you cancel. On the 1 Month plan the term is one month. Terms are not refunded part-way through. Canceling stops the next charge, and you keep access and your monthly credits until the term you have paid for ends.
This is an automatic renewal within the meaning of California Business and Professions Code § 17600 et seq. Specifically:
- The subscription continues until you cancel it. There is no end date that arrives on its own.
- What you will be charged and when is stated on the plan page and on the checkout page before you pay, and again in the receipt we email you.
- For terms of a year or more, we will email you a reminder between 15 and 45 days before each renewal, stating the amount, the date, and how to cancel.
- You can cancel at any time from your account page, the same place you manage the membership, in one step, without contacting anyone and without being asked why.
- You can also cancel by email. If you cannot sign in, or would rather not, write to info@spearheadmedia.com from the address on your account and we will cancel it for you and confirm by email.
We may change plan pricing, but not part-way through a term you have already paid for. A price change takes effect at your next renewal and we will tell you before it does.
Moving up to a longer plan
- You can move up part-way through a term from 1 Month, 3 Month or 6 Month to 1 Year or 1 Year Pro, and from 1 Year to 1 Year Pro, from the page that offers it.
- What you paid for the rest of your term counts toward it: the unused days, from today to the end of your term, at the rate you actually paid for that term, come off the new plan's price. You pay the difference when you confirm, and we show you that amount before you do.
- The new plan starts that day as a new term, paid up front, and renews automatically at the new plan's price on the same date each term until you cancel. Confirming is a new agreement to that renewal, so a cancellation set on the old term does not carry over, and you can cancel the new one at any time.
- Your credits stay yours. Everything already in your account carries across, the new plan's monthly credits run from that day, and the month it opens is brought up to the new plan's allowance rather than granted twice.
- Nothing changes until the payment goes through. If it is declined, you are not charged and your membership is exactly as it was.
- The credit is only ever used toward the new plan. It is never paid out, and moving to a shorter or cheaper plan earns no credit.
Refunds
Membership fees are not refundable, in whole or in part. A term is bought as a term: it is charged up front, it does not prorate, and canceling part-way does not return any of it. The one exception is moving up to a longer plan, when the unused part of the term counts toward the new one (above). What canceling does is stop the next charge, and you keep the whole of the term you paid for.
Individual licenses are not refundable once the file has been downloaded, because at that point you have what you bought. If you have not downloaded it, tell us within 14 days and we will refund it.
Download credits have no cash value and are not refundable. They carry over while your membership continues, including into a renewed term, and unspent credits are lost when a term ends without renewing, unless you rejoin the same plan within 30 days (section 3). Licenses you have already taken are never affected.
Prints are covered separately in section 5. Different rules apply, because a print is a physical thing that can arrive broken.
None of this displaces a right you have by law. If something was misdescribed, faulty, or charged in error, tell us and we will put it right.
If we change the price
We may change what a plan costs. When we do:
- The term you are in is never affected. You have paid for it and the price you paid stands until it ends.
- We will email you before it applies, stating the old price, the new price, and the date of the first renewal at the new rate.
- You can cancel before then and never be charged the new price.
5. Fine-art prints
Prints are made to order by our printing partner in the United States and shipped directly to you. Because each one is produced for you individually, prints are not returnable for change of mind.
- If it arrives damaged, defective, or is not what you ordered, tell us within 14 days with a photograph and we will replace it or refund it. That is your statutory right and nothing here limits it.
- Expect five to seven working days from order to dispatch. Shipping is included in the price, within the United States. If the lab charges more to reach Hawaii, Alaska or Puerto Rico, that extra postage is shown in the total at checkout, before you pay.
- Color on paper is not color on a screen. Every screen is different and no print matches one exactly; a difference in tone is not a defect.
- You choose the crop at checkout. The crop you confirm is the crop that is printed.
- Buying a print does not license the image for any other use.
6. Spearhead Scout, Spearhead Studio and Spearhead Social
Some memberships include tools that make things for you: Spearhead Scout, an AI assistant that finds footage, fills your saved lists, plans carousels and builds edits; Spearhead Studio, which cuts reels from the library; and Spearhead Social, which plans a calendar of posts, writes their captions and publishes them to Instagram. The plans that include them are listed on the membership page. We may improve, change or withdraw any of them, and they may be unavailable from time to time.
- What they write is generated automatically. Captions, hashtags, titles, plans and replies are produced by an AI model. They can be wrong, repetitive or unsuitable, and they are not advice. Read everything before you use or publish it.
- Nothing is licensed, charged or posted without you. Spearhead Scout can search, save, plan and build, but it never spends a credit. A reel, an edit or a post uses credits only when you approve or export it, at the cost shown to you first, and what it uses is then licensed to you under section 1 like any other download. Watermarked previews are for choosing, not for use.
- You are responsible for what you publish. That includes the captions and hashtags, whoever wrote them, and making sure a post suits the platform, your audience and the license of what is in it.
- Posting to Instagram. When you connect an Instagram account, you authorize us to publish the posts you approve to that account at the times you schedule, and to read back how they perform. You must be entitled to use the account and you must follow Instagram's own terms. Posting depends on Meta: a post can be delayed, refused or removed by Instagram, and we are not responsible for that or for any action Instagram takes on your account. Pausing or disconnecting stops anything further from posting.
- What you type. What you ask Spearhead Scout, and the sentence you give Spearhead Social, is sent to our AI provider to produce the result, as the privacy policy explains. Do not enter anyone else's personal information or anything confidential, and do not use these tools to create anything unlawful, deceptive, hateful or infringing.
- Generated text is yours to use. To the extent we have any rights in a caption or title written for you, you may use it freely. It may resemble text written for someone else, and we do not promise that it is unique or that it can be protected as yours.
- Fair use. Spearhead Scout has a daily message limit, shown in the assistant, and we may limit or suspend these tools for an account that uses them abusively or in a way that harms the service.
7. Contributors
If you contribute work to the library, these additional terms apply.
- You keep your copyright. You grant Spearhead Media a non-exclusive right to license your work to customers on the terms above, and to reproduce it for promotion of the library.
- You warrant that it is yours to give: that you took it or own it, that you have any releases the work needs, and that licensing it here infringes nobody. You indemnify us against claims that it does.
- Earnings are attributed monthly, at the revenue share agreed for your tier, and paid the following month once a payout account is connected.
- Payouts run through Stripe Connect. You provide your details to Stripe, not to us; we never hold your bank details. United States contributors must supply taxpayer information before any payment can be made, and a 1099 is issued where the year's earnings require one.
- Payouts are sent on the 15th of each month for the month before, through Stripe Connect. Amounts under $25 carry to the following month rather than being sent alone.
- You may withdraw work from the library at any time. Licenses already granted to customers survive, because those customers paid for them.
8. Model and property releases
Most of this library is aerial and landscape work in which no person is identifiable and no private property is the subject. Unless an asset page says otherwise, assume there is no model or property release, and that the work is cleared for editorial use only.
Where recognizable people, private property, trademarks, logos, artwork or branded goods appear, it is your responsibility to obtain any permission your intended use requires. This is normal for stock and it is the licensee's obligation, not the library's. If you are unsure about a specific clip or photograph, ask us before you use it.
9. Ownership, accounts and takedowns
All content, the site, the app and the software behind them remain the property of Spearhead Media LLC and its contributors. Nothing here grants you any right in the Spearhead name or marks.
You are responsible for what happens under your account and for keeping your password to yourself. Accounts are for one person or one organization; sharing credentials so that others can download on your allowance is a breach of these terms.
What you upload is yours to clear. Music, footage, photographs and voiceovers you add to an edit stay yours, and you are responsible for holding the rights to use them. Instagram, TikTok, Facebook and YouTube match audio against their own catalogs, so a post carrying music you do not hold the rights to can be muted, flagged or removed by them, and that is between you and the platform.
If you believe something here infringes your copyright, write to info@spearheadmedia.com with the work concerned, where it appears here, your contact details, and a statement that you have a good faith belief the use is unauthorized. We remove disputed material while we look into it.
10. Warranties and liability
The library is provided as is. We do not warrant that any file is fit for a particular purpose, that the site will be uninterrupted, or that every file is free of defects.
To the fullest extent the law allows, our total liability to you for any claim is limited to the amount you paid us in the twelve months before the claim arose. We are not liable for lost profits, lost business, or indirect or consequential loss. Nothing in these terms limits liability for fraud, or for anything else that cannot lawfully be limited.
You indemnify Spearhead Media LLC against claims arising from your use of licensed content outside the scope of your license, or in breach of section 2, section 6 or section 8.
11. General
Changes. We may update these terms. Material changes will be notified by email or on the site before they take effect, and they never change the price or the scope of a term you have already paid for.
Privacy. What we collect and why is set out in our privacy policy. We do not sell personal information.
Governing law. These terms are governed by the laws of the State of California, and the courts of San Diego County have exclusive jurisdiction over any dispute. If any provision is found unenforceable, the rest stands.
